Care Provider Agreement and Attestation

  1. I understand, acknowledge, and agree that I am not an employee of Helpr and/or any family/client to which I provide my services, and that I provide my services as an independent business. 
  2. I am duly registered as an independent contractor to the extent required by the law of the country where I provide my services. 
  3. I will abide by all applicable laws while providing my services.  
  4. I understand, acknowledge, and agree that I can determine my own work schedule and working hours.
  5. I understand, acknowledge, and agree that families/clients offer bookings that I can accept or decline, in my sole discretion.
  6. I understand, acknowledge, and agree that it is my responsibility to establish or negotiate my fees and the scope of my services for each booking with each family/client directly. 
  7. I have and will maintain any professional license(s), insurance, and/or certifications necessary to perform my services at my own cost.  
  8. I have the qualifications, expertise, and ability to perform my services.
  9. I also work or provide my services elsewhere as either a care provider or in another role.
  10. I understand, acknowledge and agree that providing my services through Helpr in no way prevents me from providing my services elsewhere or obtaining employment elsewhere. 
  11. I understand, acknowledge and agree that I will not represent myself as an employee of Helpr or any family/client at any time.
  12. I understand, acknowledge and agree that it is my responsibility to know how to provide my services and neither Helpr nor any family/client will provide training of any kind.  
  13. To the extent necessary, I have and will use my own equipment and supplies to provide my services. I understand, acknowledge, and agree that I will not be reimbursed for any costs I may incur in the provision of such services. 
  14. I understand, acknowledge, and agree that I am not entitled to any benefits offered by Helpr or any family/client to their respective employees. 
  15. I understand, acknowledge, and agree that I am exclusively responsible for any mishap or incident during the provision of my services, including any damage caused to any person or property. 
  16. I understand, acknowledge, and agree that I am exclusively liable for my own acts, omissions, and contractual obligations. 
  17. I understand, acknowledge, and agree that I must provide an invoice in order to receive payment for my services and it is my sole obligation to ensure that invoice complies with any and all legal requirements.
  18. I understand that my fees must be inclusive of any applicable service tax, including, but not limited to, value added tax (“VAT”). 
  19. I understand, acknowledge, and agree that my fees must be invoiced in U.S. dollars (“USD”) and I will bear the risk of any currency exchange rate fluctuations. 
  20. I understand, acknowledge, and agree that Helpr will not withhold any amount from payments made to me for taxes or any other purpose.
  21. I work as an independent contractor and acknowledge that I may have tax liabilities for my work based on the law of my country of residency.  I understand, acknowledge, and agree that it is my obligation to comply with all tax regulations. This may include, but is not limited to income tax, social security or other payroll taxes, municipal taxes, withholding taxes, and VAT, including any surcharges and/or consequent interest or penalty on the same. 
  22. I will report as income all fees I receive from providing my services and will personally declare, submit and pay, timely and properly, all applicable taxes (including service tax), levies, fees, duties, social security, or required withholdings or payments of any kind (collectively, “Taxes”) with respect to payments made to me by Helpr or any family/client.  
  23. I agree to indemnify Helpr its affiliates, subsidiaries, employees, directors, officers, shareholders, and clients (collectively the “Indemnified Parties”), for any claims, losses, costs, fees (including reasonable attorney fees), liabilities, damages, or injuries (collectively, “Claims”) arising out of (a) the provision of my services (b) my acts or omissions, (b) any breach of my representations above, (c) damage to property, property loss or personal injury or death which in any way arises from or is connected with my services, (d) my own negligence or willful misconduct, (e) my violation of any applicable laws, (f) my failure to properly report, withhold and/or remit Taxes in accordance with applicable laws; (g) any governmental claims related to me, including but not limited to workers’ compensation and unemployment insurance claims, and (e) any determination that my status or relationship with Helpr or any family/client is anything other than that of an independent contractor.
  24. I understand, acknowledge, and agree that I work as an independent contractor and acknowledge I am responsible for my own tax liability.  I understand that Helpr is not my employer and Helpr will not be withholding tax from my earnings.
